Part A — Terms of Service

1. Who we are

XOONX ("we", "us") is a personal shopping and importing service operated in Egypt, purchasing products from retailers in the United States, United Kingdom, and Europe on behalf of customers in Egypt and delivering them to the customer's address. XOONX is part of the Yeldn group. Contact: [email protected].

2. The nature of the service

2.1. XOONX is a special-order service. We do not hold inventory. Every order is placed individually with a foreign retailer after you confirm your order and pay the deposit.

2.2. Products shown on our website (including "Trending Worldwide" and "Customer Favorites") are illustrations of what we can source. Availability is confirmed at order review.

2.3. Every order is reviewed and approved by our staff before it becomes binding. An order exists when (a) you have accepted a quote or placed an order at a listed price, (b) you have paid the deposit, and (c) our staff have approved the order. We may decline any request before approval, in which case any amount paid is refunded in full.

2.4. All products we purchase are brand new from the retailer. We do not source used, refurbished, or open-box items.

3. Accounts

3.1. You register with your phone number or email address. You are responsible for keeping your credentials secure and for activity under your account.

3.2. You must be 18 or older and provide accurate information, including a valid Egyptian delivery address and a phone number reachable on WhatsApp or by call.

3.3. We may suspend accounts used fraudulently, abusively, or in violation of these terms.

4. Prices and quotes

4.1. The price we quote is the final price you pay, in Egyptian pounds. It includes the product cost, international transport, Egyptian customs and clearance, and our service fee, to your address. There are no additional charges at delivery. *(Cross-reference §8: customs cost overruns are our risk, not yours.)*

4.2. A quote is valid for 7 days from issue. After expiry, prices may be recalculated (exchange rates and retailer prices change).

4.3. For products listed with a displayed price ("Trending Worldwide"), the displayed price is honored for orders placed while it is displayed, subject to §4.4.

4.4. If, at order review, the retailer's price has materially changed since your order was placed `[OWNER: define tolerance, proposed 2–3%]`, we will contact you with the updated price before proceeding. You may accept the new price or cancel with a full refund of anything paid.

4.5. Minimum order value: EGP 6,000. Minimum service fee: EGP 300.

5. Payment

5.1. Deposit: 20% of the total price is due when you place your order. We do not purchase from the retailer before receiving your deposit.

5.2. Balance: the remaining 80% is due after your goods arrive in Egypt and before final delivery is scheduled.

5.3. Payment methods: card and mobile wallet via our payment providers, bank transfer, mobile wallet transfer, or cash recorded by our staff. Card payments are processed by licensed payment providers; XOONX does not store card numbers. Card statements may show the name of our payment-processing entity within the Yeldn group rather than "XOONX".

5.4. Amounts are stated and payable in EGP.

6. Cancellation and refunds

6.1. Before purchase execution: you may cancel free of charge at any time before we execute the purchase with the foreign retailer. Your deposit is refunded in full.

6.2. After purchase execution: once we have executed the purchase, the order cannot be cancelled. Contact us if something has changed and a person will look at it with you; where the retailer accepts a return or cancellation, we will pass the outcome to you, less costs actually incurred.

6.3. If we cannot fulfil an order (unavailability, our refusal at review, a §4.4 price change you decline, or customs impossibility), you receive a full refund of everything paid within 5 business days, with no deduction of payment-gateway fees. You may choose account credit instead.

6.4. Refunds are issued to the original payment method where possible, otherwise by bank/wallet transfer.

7. Delivery

7.1. Delivery timeframes are stated on each quote as a range. Typical delivery is 2–5 weeks from deposit depending on origin and product type. The timeframe is an estimate; §8 states who bears delay risk. `[COUNSEL: review interaction with consumer-protection law on delivery promises]`

7.2. We deliver to the address on the order anywhere in Egypt. You will be contacted to schedule final delivery once the balance is paid.

7.3. Inspect on delivery. Visible damage or a wrong item must be reported at delivery or within 48 hours with photos. §8 allocates transport-damage risk to us until handover.

8. Risk allocation — who bears what

XOONX bears:

| Risk | Consequence |

|---|---|

| Product held, taxed above estimate, or rejected by Egyptian customs | Our cost — your price does not change; if the product cannot be delivered, full refund per §6.4 |

| Loss or damage in international or domestic transport, until handover to you | Replacement or full refund, our choice after consulting you |

| Currency movements between quote acceptance and purchase | Our cost — the quoted price is final |

| Retailer price increase after order approval | Our cost (before approval: §4.4 applies) |

The customer bears:

| Risk | Explanation |

|---|---|

| Product suitability and specifications of a product you selected or linked | We purchase exactly what was agreed; "it's the wrong size / not what I hoped" is not a defect |

| Absence of local manufacturer warranty | Imported products generally carry no Egyptian warranty; any manufacturer warranty is between you and the manufacturer per its terms |

| Compatibility (voltage, plugs, region locks, connectivity) unless you asked us to advise and we did | We flag known issues (e.g., 110V appliances) in the quote when identifiable |

| Manufacturer defects discovered after the §7.3 inspection window | `[BOARD §6.2: define any goodwill/defect policy beyond the retailer's own return terms]` |

9. Product authenticity

`[BOARD §6.2 — decision pending. Draft options for counsel to shape once the Board chooses:]`

*Option 1 (source guarantee):* "We purchase exclusively from the official retailers and authorized sellers identified on your quote, and we document the purchase source for every order."

*Option 2 (verification tier):* Option 1 plus a paid verification service for designated categories.

*The retired claim "100% originality or full refund" must not reappear unless the Board explicitly re-adopts it with a defined verification procedure.*

10. Products we do not handle

10.1. We refuse: items illegal to import into Egypt; `[BOARD §6.3 — refused-category list]`; used goods (§2.4); and standalone shipping of goods you purchased yourself.

10.2. Some categories require case-by-case approval and may require documentation from you (e.g., items needing import permits). If customs requires documents only you can provide and they are not provided, §6.4 does not apply; we will refund the product cost recovered, less costs incurred. `[COUNSEL: review]`

11. Complaints and compensation

11.1. Contact [email protected] or WhatsApp. We acknowledge within 1 business day.

11.2. Compensation, where due, may be money or account credit. Compensation policy is internal; nothing here creates entitlement beyond §6 and §8. `[COUNSEL: liability interaction]`

12. Liability

12.1. Our total liability for any order is capped at the total amount you paid for that order. We are not liable for indirect or consequential losses (lost profit, lost opportunity).

12.2. Nothing in these terms excludes liability that cannot be excluded under Egyptian law.

13. General

13.1. These terms are governed by the laws of the Arab Republic of Egypt; disputes go to the competent Egyptian courts. `[COUNSEL: arbitration alternative?]`

13.2. We may update these terms. Each version is numbered and dated; the version you accept with an order governs that order. Material changes are announced on the site.

13.3. The English text governs; translations are for convenience.
